Terms of Service

Effective date: April 12, 2026

These Terms of Service (“Terms”) govern access to and use of BOE (BookOrderEat) software and services, including the guest mobile applications, operator and restaurant web admin, related APIs and backends, and BOE websites (collectively, the “Services”). By creating an account, accessing the Services, or making a booking, you agree to these Terms. If you use BOE on behalf of an organization, you represent that you have authority to bind that organization.

The Services

BOE provides tools for restaurant discovery, taste-based recommendations, table reservations, optional menu pre-ordering linked to bookings, payments through Stripe and an in-app wallet, coupons, loyalty tiers and memberships, booking QR codes, notifications, and back-office administration for restaurants and platform operators.

Features available to you may depend on your region, restaurant participation, product configuration, and account type.

Accounts and eligibility

You must provide accurate registration information and keep it updated. You are responsible for activity under your credentials. Do not share account access with unauthorized persons.

BOE may support sign-in with passwords and/or one-time codes sent to email or phone. You are responsible for securing access to those channels.

We may suspend or terminate accounts that violate these Terms, create risk, or must be restricted for legal or security reasons.

Bookings, restaurant policies, and conduct

When you place a booking, you enter a direct relationship with the restaurant for the dine-in experience. Arrival times, cancellations, no-shows, dress codes, age restrictions, allergen handling, and in-venue rules are controlled by the restaurant and applicable law—not by BOE’s general platform terms alone.

You agree to provide accurate party size, contact information, and special requests. Misuse of the Services (for example manipulating pricing, exploiting coupons, harassing staff or users, attempting unauthorized access, scraping in violation of technical limits, or interfering with operations) is prohibited.

Payments, wallet, and Stripe

Card payments are processed by Stripe. Stripe’s terms and privacy policy also apply to payment activities they conduct. BOE may store metadata necessary to confirm and reconcile payments.

In-app wallet features allow balance-based checkout and top-ups that may be funded through Stripe checkout flows. Wallet balances are tracked within BOE according to product rules; they are not bank deposits unless explicitly presented otherwise in a regulated offering.

Refunds, chargebacks, adjustments, and restaurant settlement or invoicing workflows depend on BOE configuration, restaurant agreements, and payment network rules. Displayed amounts, taxes, service fees, and discounts should be reviewed at checkout.

Coupons, loyalty, and memberships

Coupons, loyalty tiers, and memberships are offered subject to program rules configured in the product or by the restaurant. Benefits may change, expire, or be revoked for abuse or non-compliance. BOE may send notifications about tier changes or offers consistent with your settings.

Content and intellectual property

BOE and its licensors own the Services, software, branding, and underlying content we provide. Restaurants own or license their menus, imagery, and trademarks they upload.

You grant BOE a license to host, process, display, and distribute content you submit as reasonably necessary to operate the Services (for example showing your booking details to the restaurant).

Disclaimers

Except where prohibited by law, the Services are provided on an “as is” and “as available” basis without warranties of merchantability, fitness for a particular purpose, or non-infringement. BOE does not guarantee uninterrupted or error-free operation, availability of any restaurant, or that items prepared in-venue will meet dietary requirements—always confirm critical allergen information directly with the restaurant.

Limitation of liability

To the maximum extent permitted by applicable law, BOE and its affiliates, directors, employees, and suppliers will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from or related to the Services.

To the maximum extent permitted by applicable law, BOE’s aggregate liability for claims arising out of or related to the Services will not exceed the greater of (a) the amounts you paid to BOE in fees specifically for BOE platform services (excluding amounts passed through to restaurants or processed solely as payments) in the three (3) months before the event giving rise to liability, or (b) one hundred U.S. dollars (USD $100) if no such fees were paid. These limitations do not apply where liability cannot be limited by law (for example certain personal injury caused by willful misconduct, where applicable).

Indemnity

To the extent permitted by law, you will indemnify and hold harmless BOE and its affiliates from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Services, your violation of these Terms, or your violation of others’ rights.

Termination

You may stop using the Services at any time. We may suspend or terminate access with or without notice where permitted by law, including for breach, risk, or discontinuation of the product. Provisions that by their nature should survive (including payment obligations accrued prior to termination, intellectual property, disclaimers, limitations, indemnity, and dispute terms) will survive.

Governing law and disputes

Unless a separate written agreement with you specifies otherwise, these Terms are governed by the laws of the jurisdiction in which the BOE entity contracting with you is organized, without regard to conflict-of-law principles that would require applying another jurisdiction’s laws.

Venue for disputes will follow the same jurisdiction unless mandatory consumer protections in your country require a different forum. Some regions may grant you non-waivable rights to bring claims in your local courts.

Changes to these Terms

We may modify these Terms. We will post the updated Terms with a new effective date and, where required by law or reasonably appropriate, provide additional notice. Continued use after the effective date may constitute acceptance.

Restaurant partners and enterprise customers may also be subject to separate commercial agreements, statements of work, or data-processing addenda. If there is a conflict between these Terms and a signed agreement that explicitly overrides them, the signed agreement controls for that relationship.
